TERMS OF SERVICE

1. Scope of Services

Services include:

• IT consulting
• CRM implementation (including Microsoft Dynamics 365)
• Data migration
• Automation workflow design
• Website and application development
• Cloud architecture
• Reporting and analytics
• System integration
• Ongoing support and maintenance

Scope is defined in a proposal, contract, or Statement of Work (SOW).

2. Fees & Payment Terms

• Fees are outlined in proposals or SOW
• GST applies where required
• Invoices payable within agreed terms (typically 7–14 days)
• Late payments may attract interest
• Work may be suspended for non-payment

3. Intellectual Property

• Pre-existing IP remains with original owner
• Custom-developed deliverables transfer upon full payment
• Third-party software remains property of the vendor (e.g., Microsoft D365)
• We may reference non-confidential work in marketing materials

4. Client Obligations

• Provide timely access to systems, data, and key personnel
• Review and approve deliverables within agreed timeframes
• Ensure internal stakeholders are available for workshops and testing
• Delays caused by the client may result in scope or timeline adjustments

5. Confidentiality

• Both parties agree to protect confidential information
• Confidential information will not be disclosed to third parties without consent
• Obligations survive termination of the agreement

6. Warranties & Limitations

• Services are provided with reasonable skill and care
• We do not guarantee uninterrupted or error-free operation of systems
• Liability is limited to the value of fees paid for the specific engagement
• We are not liable for indirect, consequential, or loss of profit damages

7. Termination

• Either party may terminate with written notice as per the agreement
• Client remains liable for fees incurred up to termination date
• Upon termination, all work-in-progress and materials will be returned or destroyed

8. Governing Law

These terms are governed by the laws of Australia. Any disputes will be subject to the jurisdiction of Australian courts.
